M&A – Arrow & Premier Farnell

Overview
Arrow invested $300 million to acquire from Premier Farnell its industrial component distribution businesses, operating in 13 countries.
The transaction was made complex by the fact that the seller was continuing its well established business of distributing components by catalogue sales. Certain of the businesses acquired were branches of their parent company whilst others were subsidiary companies. IDJ represented Arrow from the first meeting with the CEO and CFO of the sellers, assisted in structuring the transaction, all negotiations, the transitional arrangements and the vital plans for ensuring that every significant business was told of the change of its ownership by a senior Arrow executive on the day that the purchase was announced.
